1. General Provisions

Welcome to REXTEN Marketplace — an online platform operated by REXTEN that connects clients with independent businesses and professionals. REXTEN Marketplace is not a seller, contractor, employer, or direct provider of the services listed; those services are offered by third parties who use the platform. By using our service, you agree to these Terms of Service, governed by US law.

We provide software, discovery, booking tools, communications features, and related technology only. The quality, safety, legality, licensing, insurance, and tax treatment of any service you book are solely between you and the relevant business or professional. These terms apply to all platform users, including residents of all US states, including California.

2. Account Registration and Usage

2.1. Client Registration

To use the platform as a client, you can:

Register an account by providing accurate information
Use the platform without registration to browse services and book
Leave reviews for services received

2.2. User Obligations

Provide accurate and up-to-date information
Not transfer account credentials to third parties
Comply with platform rules and legislation
Not use the platform for illegal purposes

3. Service Search and Booking

3.1. Service Search

The platform provides service search capabilities by various criteria: categories, location, rating, price, and other parameters.

3.2. Booking

When you book a service, you enter into a contractual relationship with the business or professional offering that service. REXTEN Marketplace is not a party to that contract. We may display prices and process payments only as a technical and payment facilitator where enabled; the underlying obligation to perform the service remains with the provider.

3.3. Booking Cancellation

Cancellation terms are determined by the specific service provider's policy. We recommend checking cancellation terms before confirming a booking.

4. Review System

After receiving a service, you can leave a review about the service quality. Reviews must:

Be based on actual service experience
Be objective and constructive
Not contain insults, defamation, or false information
Comply with community guidelines

The platform reserves the right to moderate and remove reviews violating usage rules.

In addition to the above, to comply with the US Federal Trade Commission (FTC) requirements for reviews and endorsements, the following are prohibited on the platform:

Fake reviews, as well as reviews not based on an actual service experience.
Paid or otherwise incentivized reviews without clear disclosure of the incentive.
Any manipulation of reviews and ratings (review manipulation), including inflating ratings and suppressing negative reviews.
Reviews by a business about itself or related parties.

REXTEN may remove reviews it considers suspicious or in breach of these rules, and may restrict the ability to post them.

5. Acceptable Use and prohibited services

By using the platform, you agree not to list, offer, book, or purchase through it the services and materials below, and not to engage in the actions listed:

Illegal services or services that violate applicable law.
Escort services and adult sexual services.
Narcotics, cannabis, nicotine products, and related services.
Weapons, ammunition, and related services.
Production or provision of fake documents.
Regulated types of work performed without the required license, permit, or insurance.
Unsafe services that pose a threat to life, health, or property.
Discriminatory listings and services that violate anti-discrimination law.
Impersonation of another person or organization, and creation of fake accounts.
Posting fake reviews and other reputation manipulation.
Circumventing the platform payment system (off-platform payment circumvention) — that is, soliciting or accepting payment for services booked through the platform outside of REXTEN when payment is meant to go through the platform.

REXTEN may reject, hide, or remove any listings, and suspend or terminate accounts that violate this section, including without prior notice where security or the law requires it.

6. Business subscriptions and platform plans

For business accounts, REXTEN offers subscription plans (for example, Free, Start, Pro, Enterprise) that may include different sets of features and limits.

Changes to plans and features. REXTEN may change the composition of subscription plans, their pricing, and their feature sets. We notify you of significant changes via the platform or by email.
Automatic renewal. A paid subscription renews automatically for each subsequent billing period until it is cancelled.
Cancellation. You may cancel your subscription at any time; cancellation takes effect at the end of the current paid billing period. No prorated refund is provided for the unused part of the period, unless required by law.
Non-payment. If an invoice is unpaid, access to paid features or to the account may be limited or suspended.
Downgrade. When moving to a lower plan (downgrade), some features and data available only on a higher plan may become unavailable.
Separate payments. The subscription fee and the marketplace commission (for bookings) are separate, independent payments.

7. Liability of the parties

5.1. Platform Liability

REXTEN Marketplace is an intermediary and technology provider. We do not provide the underlying services shown on the platform and are not responsible for the quality, timeliness, legality, or outcome of those services, nor for the acts or omissions of service providers or clients, except where mandatory law requires otherwise.

5.2. User Liability

You are responsible for the accuracy of provided information, compliance with booking terms, and timely payment for services (if applicable).

5.3. Service Provider Liability

The service provider is fully responsible for the quality of services provided, compliance with agreements, and fulfillment of obligations to the client, including permits, taxes, and professional standards applicable to their activity.

8. Intellectual property

All platform materials, including design, text, images, logos, and software, are intellectual property of REXTEN Marketplace or used with permission of rights holders.

Use of platform materials without written permission is prohibited, except as provided by law.

9. Changes to the terms

We reserve the right to modify these Terms of Service at any time. We will notify users of significant changes via the platform or email.

Continued use of the platform after changes constitutes your acceptance of the new terms.
